《各報要聞》借殼上市，先下市1年

【時報-台北電】胖達人事件引發借殼上市疑慮，證交所已向金管會提出建議，未來借殼上市（櫃）公司若出現營業項目重大改變，擬先下市1年到興櫃交易，才能以簡易IPO重新提出上市申請。該案將待金管會定案後宣布，惟此規定不溯及既往。

金管會主委曾銘宗日前表示，本（10）月底前將提出借殼上市管理、提前下市退場等機制。除借殼上市趨嚴規定外，有關提前下市的退場標準，將朝股票流通性、成交量連續一段期間未達標準，或因減資致資本額低於上市標準或市值過低等方向，訂出下市規範。

由於近年借殼上市公司大幅增加，為避免有心人士透過借殼上市規避上市審查機制，證交所預計明年起，對上市公司產業分類檢查時間，從2年縮短為1年，屆時公司營業項目有重大改變，即須改類掛牌交易。

相關人士透露，未來將對借殼上市作新的定義，例如營業項目出現重大改變，從紡織股變成營建股，則被借殼上市公司需先下市1年，到興櫃市場交易，待1年後再重新提出申請，但會簡化這類型公司重新申請上市的時間與作業流程，縮短重新申請及審查時間。

對於目前已被借殼上市公司，新的規定確定不溯及既往。不過，證交所強調，目前仍有不少被借殼公司營運狀況尚未上軌道，未來將加強監理。

對於新的借殼上市公司，若營業項目沒有重大改變，雖暫不需重新IPO，但證交所強調，會加強監管，可能會給予觀察期。

基因國際（胖達人）股價炒作事件，引發主管機關高度關注，為避免投資人受害，證交所也針對交易面擬定下市的退場機制，方向朝股票流通性，或成交量連續一段期間未達一定標準，或因減資致資本額低於上市標準，及市值過低等就要下市。

證交所表示，相關建議案已呈報金管會，就待金管會拍板定案後對外宣布，待政策確定後，即會著手修改證交所營業細則，呈報金管會同意後即可實施。

金管會主委曾銘宗月初曾表示，相關標準10月底會定調，因而，一般預料，最快11月或年底前，新的借殼上市規定、提前下市等機制，即可正式上路。（新聞來源：工商時報─記者呂淑美／台北報導）
